Acceptance of Terms
We are Livently (“Livently”, “we”, “us”, or “our”), a company registered in England and Wales, with its registered address at Office 12424, 182–184 High Street North, London, England, United Kingdom, E6 2JA. Livently operates the website located at https://livently.io, together with any associated mobile applications, digital platforms, tools, features, and related services that reference or link to these Terms and Conditions (collectively, the “Platform” or “Services”).
Livently operates an AI-powered event planning marketplace designed to connect individuals and entities planning, organising, or hosting events (“Event Organizers”) with independent third-party event suppliers and service providers (“Vendors”). Through the Platform, Livently provides technology-enabled tools that support event discovery, communication, booking facilitation, and event management workflows. Livently does not itself organise events, supply vendor services, or act as an agent for Event Organizers or Vendors, unless expressly stated otherwise in writing.
These Terms and Conditions, together with any documents expressly incorporated by reference (including the Privacy Policy) (collectively, the “Legal Terms”), govern your access to and use of the Platform and Services. They constitute a legally binding agreement between you, whether acting in your personal capacity or on behalf of a legal entity, and Livently.
By accessing, browsing, registering for, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Legal Terms. If you do not agree to these Legal Terms in their entirety, you must not access or use the Platform or Services.
Nothing in these Legal Terms affects any statutory rights you may have as a consumer under the Consumer Rights Act 2015 or other applicable consumer protection legislation.
1. Definitions
For the purposes of these Legal Terms, the following definitions apply:
- “Account”
- means the registered user account created by a User in order to access and use certain features and functionalities of the Platform.
- “Content”
- means any text, data, graphics, images, photographs, audio, video, software, reviews, messages, listings, or other materials made available on or through the Platform, whether provided by Livently or by Users.
- “Event Organizer”
- means any individual or legal entity that uses the Platform to plan, organise, manage, or host events and to identify, communicate with, or book Vendors for event-related services or products.
- “Marketplace Transaction”
- means any booking, agreement, or transaction entered directly between an Event Organizer and a Vendor, whether facilitated through the Platform’s tools or arising from interactions initiated via the Platform.
- “Platform”
- means Livently’s website, mobile applications, software, interfaces, and all associated tools, features, and technological infrastructure through which the Services are made available.
- “Services”
- means all services, features, functionalities, tools, and content provided or made available by Livently through the Platform, including marketplace facilitation, communication tools, discovery features, booking interfaces, and event management support.
- “User”
- means any individual or legal entity that accesses or uses the Platform, whether as an Event Organizer, a Vendor, or otherwise.
- “Vendor”
- means any individual or legal entity that offers, promotes, or provides event-related goods or services to Event Organizers through the Platform.
2. Eligibility and Registration
2.1. Eligibility Requirements
Access to and use of the Platform is strictly limited to individuals and entities that meet the eligibility criteria set out in this Agreement. By accessing or using the Platform, you confirm that you are at least eighteen (18) years of age, or have reached the age of legal majority in the jurisdiction in which you reside or operate, and that you possess the full legal capacity, authority, and competence to enter into a legally binding agreement with Livently. You further represent and warrant that you are not restricted, suspended, or otherwise prohibited from using the Platform under any applicable law, regulation, court order, or contractual obligation. You agree to provide information that is accurate, current, and complete at all times during registration and thereafter, and you acknowledge that Livently relies on the truth and accuracy of such information in granting you access to the Platform. Any use of the Platform in breach of these eligibility requirements constitutes a material violation of these Terms.
2.2. Account Registration
Certain features and functionalities of the Platform are available only to registered users. In order to access these features, you must create an account and provide all information requested during the registration process. You agree that all information submitted by you is truthful, accurate, and complete, and you undertake to promptly update such information to ensure it remains current and correct at all times. You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password, and for restricting access to your account. You agree to notify Livently immediately upon becoming aware of any unauthorised access to, or use of, your account or any other breach of security. You acknowledge and agree that you are fully responsible for all activities, transactions, communications, and obligations carried out through your account, whether authorised by you or not, except to the extent caused directly by Livently’s negligence or failure to comply with applicable law.
2.3. Account Types
The Platform offers distinct account types designed to support different user roles within the events marketplace. Event Organizer Accounts are intended for individuals or entities seeking to plan, manage, or host events and to source event-related services through the Platform. Vendor Accounts are intended for individuals or entities offering event-related goods, services, or experiences for booking by Event Organizers. Where permitted by the Platform, a user may maintain both an Event Organizer Account and a Vendor Account, provided that each account is supported by accurate and distinct profile information and is operated in compliance with these Terms. Livently reserves the right, at its sole discretion, to determine eligibility for specific account types and to suspend, restrict, or terminate any account that is misused or inaccurately represented.
3. Platform Services
3.1. Marketplace Functionality
Livently operates as a technology-enabled marketplace that facilitates connections between Event Organizers and Vendors. The Platform provides digital tools that enable users to search for, discover, compare, and communicate with potential counterparties for the purposes of planning and delivering events. These tools may include messaging features, event planning utilities, booking interfaces, transaction processing capabilities, and systems that allow users to publish, view, and respond to reviews and ratings. Livently does not itself organise events, provide vendor services, or act as an agent for either Event Organizers or Vendors, unless expressly stated otherwise in writing. Any agreement entered into between users of the Platform is formed directly between those users, and Livently is not a party to such agreements.
3.2. Service Availability
While Livently uses reasonable efforts to ensure that the Platform is accessible, reliable, and secure, uninterrupted or error-free operation cannot be guaranteed. Access to the Platform may be temporarily restricted or unavailable due to maintenance, upgrades, system failures, or circumstances beyond Livently’s reasonable control. Livently reserves the right, at any time and at its sole discretion, to modify, suspend, withdraw, or discontinue any part of the Platform, whether temporarily or permanently, with or without prior notice, provided that such actions are taken in accordance with applicable law. Livently shall not be liable for any loss or damage arising from any interruption or unavailability of the Platform, except where required by law.
3.3. Technology Features
The Platform may incorporate advanced technological features designed to enhance user experience and operational efficiency, including artificial intelligence-driven matching or recommendation tools, automated communication systems, data analytics and reporting functionalities, and integrations with third-party platforms or service providers. The Platform may be accessed via web-based interfaces, mobile applications, or other digital formats, which may evolve over time. Livently makes no guarantee that any specific feature or technology will remain available indefinitely and reserves the right to update, modify, or remove features as part of its ongoing development of the Platform.
4. User Responsibilities
4.1. General Conduct
All users of the Platform agree to conduct themselves in a lawful, ethical, and professional manner at all times. You undertake to use the Platform solely for its intended purposes and in compliance with all applicable laws, regulations, and industry standards. You agree to respect the rights, dignity, and legitimate interests of other users and third parties, to communicate honestly and accurately in all interactions, and to refrain from any behaviour that could reasonably be considered misleading, harmful, or disruptive. Professionalism and good faith are expected in all communications, negotiations, and transactions conducted through the Platform.
4.2. Event Organizer Responsibilities
Event Organizers are solely responsible for ensuring that all event-related information provided on the Platform is accurate, complete, and truthful, including but not limited to event scope, specifications, timelines, budgets, and requirements. Event Organizers agree to communicate clearly, promptly, and transparently with Vendors, to honour all confirmed bookings and contractual commitments entered into through the Platform, and to pay all agreed fees, charges, and costs in accordance with the applicable terms and timelines. Event Organizers further agree to provide fair, honest, and non-misleading reviews and feedback based on genuine experiences, and acknowledge that such feedback may impact Vendors’ reputations and business opportunities.
4.3. Vendor Responsibilities
Vendors represent and warrant that all information provided regarding their services, products, qualifications, pricing, and availability is accurate, complete, and not misleading. Vendors are solely responsible for maintaining all licences, permits, certifications, approvals, and insurance required to lawfully provide their services in the relevant jurisdiction. Vendors agree to deliver services in accordance with the descriptions, representations, and agreements made with Event Organizers, to respond to enquiries and booking requests within a reasonable timeframe, and to honour all confirmed bookings and commitments. Vendors further agree to maintain professional standards of conduct, care, and diligence in the delivery of their services at all times.
5. Prohibited Activities
Users agree not to engage in any activity that is unlawful, fraudulent, abusive, harmful, or otherwise inconsistent with the purpose and integrity of the Platform. Prohibited conduct includes, without limitation, violating any applicable laws or regulations; infringing or misappropriating the intellectual property rights of Livently or any third party; posting, transmitting, or disseminating false, misleading, deceptive, or fraudulent information; engaging in harassment, discrimination, hate speech, or abusive behaviour; attempting to bypass, disable, or interfere with Platform security features or technical safeguards; using automated systems, bots, scrapers, or similar technologies without prior written consent; collecting, harvesting, or exploiting user data without authorisation; using Platform data to compete directly with Livently; or engaging in any activity that could reasonably be expected to damage, disrupt, overload, or impair the Platform or its users.
Livently reserves the right to investigate, moderate, restrict, or remove any content or activity that it reasonably believes violates these Legal Terms, applicable law, or the integrity of the Platform, including false or misleading reviews.
6. Transactions and Payments
6.1. Transaction Facilitation
Livently provides a technological framework that facilitates introductions, communications, and transactions between Event Organizers and Vendors. Livently is not a party to any agreement, contract, or arrangement entered into between users, and does not act as an agent, broker, or representative for any user unless expressly stated otherwise in writing. All contractual obligations arising from a booking or transaction rest solely with the relevant Event Organizer and Vendor.
6.2. Payment Processing
Payments made through the Platform are processed using secure third-party payment service providers. By using the Platform, you agree to comply with the terms and conditions of such payment providers. Livently may charge transaction or processing fees in connection with payments facilitated through the Platform, which will be disclosed prior to completion of the transaction. Users remain solely responsible for determining, reporting, and paying any applicable taxes, duties, or levies arising from their transactions. Refunds, cancellations, and chargebacks are governed by the agreement between the Event Organizer and Vendor, subject to any mandatory consumer protection laws.
6.3. Fees and Pricing
Livently may charge fees for access to or use of certain features of the Platform, including subscription fees, transaction fees, commission fees, or other charges. All applicable fees and pricing structures will be clearly disclosed before any charge is incurred. Unless expressly stated otherwise, all fees are non-refundable. Livently reserves the right to modify its fees and pricing structures from time to time, subject to reasonable notice where required by law.
6.4. Disputes Between Users
Users are encouraged to resolve any disputes arising from transactions directly and in good faith. While Livently may, at its discretion, offer tools or processes to assist with dispute resolution, Livently has no obligation to mediate, arbitrate, or resolve disputes between users and does not guarantee any particular outcome.
7. Intellectual Property
7.1. Livently’s Rights
All intellectual property rights in and to the Platform, including its software, databases, designs, trademarks, logos, content, and proprietary technology, are owned by or licensed to Livently. Nothing in these Terms transfers any ownership rights to users. Subject to compliance with these Terms, users are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform for its intended purposes.
7.2. User Content
Users retain ownership of the content they upload, submit, or otherwise make available through the Platform. By submitting content, you grant Livently a worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to use, host, store, reproduce, modify, adapt, publish, display, and distribute such content for the purposes of operating, improving, marketing, and promoting the Platform.
7.3. Third-Party Rights
Users must not upload, post, or share any content that infringes, misappropriates, or otherwise violates the intellectual property or proprietary rights of any third party. Users are solely responsible for ensuring they have all necessary rights and permissions for any content they provide.
8. Privacy and Data Protection
8.1. Privacy Policy
Livently’s collection, use, processing, and protection of personal data are governed by its Privacy Policy, which forms an integral part of these Terms. By using the Platform, you acknowledge and agree to the practices described in the Privacy Policy.
8.2. Data Security
Livently implements reasonable technical and organisational measures designed to safeguard user data against unauthorised access, loss, or misuse. However, no system can be guaranteed to be completely secure, and Livently does not warrant absolute security of data transmitted or stored on the Platform.
8.3. Data Sharing
Livently may use and share aggregated and anonymised data for analytics, research, operational, and business purposes, provided that such data does not identify individual users.
9. Disclaimers and Limitations
9.1. Platform Disclaimer
The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Livently disclaims all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, availability, or non-infringement.
However, nothing in these Legal Terms excludes or limits any rights you may have as a consumer under the Consumer Rights Act 2015 or any other applicable consumer protection legislation. Where Livently provides services to consumers, those services will be provided with reasonable care and skill, as required by law.
9.2. Service Quality
Livently operates solely as a technology platform and does not provide, endorse, or control vendor services. Livently makes no representations or guarantees regarding the quality, safety, legality, suitability, or performance of services or products provided by Vendors, nor the accuracy or completeness of information provided by Users.
This clause does not affect any statutory rights you may have as a consumer, including your right to remedies where services provided by Livently fail to meet the standard of reasonable care and skill required by law.
9.3. Third-Party Services
The Platform may integrate with or link to third-party services, applications, or websites. Livently does not control and is not responsible for the availability, content, performance, accuracy, or reliability of any third-party services.
Nothing in this clause limits Livently’s responsibility where required under applicable consumer protection law.
10. Limitation of Liability
To the maximum extent permitted by law, Livently shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm, arising out of or in connection with your use of the Platform.
Nothing in these Legal Terms excludes or limits Livently’s liability for:
- death or personal injury caused by its negligence;
- fraud or fraudulent misrepresentation;
- any breach of statutory duties owed to consumers under the Consumer Rights Act 2015; or
- any other liability which cannot lawfully be excluded or limited.
Subject to the above, Livently’s total aggregate liability arising out of or in connection with these Legal Terms shall not exceed the total amount paid by you to Livently in the twelve (12) months preceding the event giving rise to the claim.
Where you are a consumer, this limitation applies only to the extent permitted by applicable law and does not affect your statutory rights.
11. Copyright Infringement Notice
If you are a copyright owner or such owner’s agent and believe any material on our website constitutes an infringement on your copyright, please contact us setting forth the following information: (a) a physical or electronic signature of the copyright owner or a person authorized to act on his behalf; (b) identification of the material that is claimed to be infringing; (c) your contact information, including your address, telephone number, and an email; (d) a statement by you that you have a good faith belief that use of the material is not authorized by the copyright owners; and (e) the a statement that the information in the notification is accurate, and, under penalty of perjury you are authorized to act on behalf of the owner.
12. Indemnification
You agree to indemnify, defend, and hold harmless Livently, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or related to your use of the Platform, your breach of these Terms, your violation of any applicable law or third-party rights, or your provision of services or products through the Platform.
13. Termination
These Terms remain in effect for as long as you access or use the Platform.
13.1. Termination by Users
You may terminate your account at any time by following the account closure procedures available on the Platform.
13.2. Termination by Livently
Without limiting any other provision of these Legal Terms, Livently reserves the right, in its sole discretion, to suspend or terminate your access to the Platform, restrict functionality, or delete your account and content where Livently reasonably believes that you have breached these Legal Terms, violated applicable law, engaged in fraudulent or harmful conduct, or posed a risk to the Platform, other Users, or Livently’s reputation.
Where termination is not due to breach, unlawful conduct, or risk to the Platform or other Users, Livently will provide reasonable notice where practicable, particularly where the User is a consumer.
13.3. Effect of Termination
Upon termination, your right to access and use the Platform shall cease immediately. Provisions which by their nature should survive termination, including payment obligations, intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions, shall remain in effect.
Where Livently terminates or suspends your account for breach of these Legal Terms, you may not create a new account without Livently’s prior written consent. Livently reserves the right to pursue any remedies available at law or in equity.
Nothing in this clause affects any statutory consumer rights that survive termination under applicable law.
14. Dispute Resolution
14.1. Governing Law and Jurisdiction
These Legal Terms are governed by and construed in accordance with the laws of England and Wales. The courts of London shall have non-exclusive jurisdiction over any dispute arising out of or in connection with these Legal Terms.
If you are a consumer habitually resident outside England and Wales, you may also bring proceedings in the courts of your country of residence, in accordance with applicable consumer protection laws.
14.2. Arbitration
Any dispute arising out of or in connection with these Legal Terms may, at Livently’s discretion or by mutual agreement, be submitted to arbitration in accordance with the Arbitration Rules of the European Court of Arbitration. The seat of arbitration shall be London, England, the language shall be English, and the governing law shall be the law of England and Wales.
This arbitration clause does not prevent consumers from exercising their statutory right to bring proceedings before the courts of England and Wales or any other competent court.
14.3. Restrictions and Class Action Waiver
To the fullest extent permitted by law, disputes shall be conducted on an individual basis only and not as part of any class, collective, or representative action.
This waiver applies only to the extent permitted by applicable law and does not affect mandatory consumer rights.
15. General Provisions
15.1. Modifications
Livently reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our website after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use Livently.
15.2. Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
This Agreement, together with the Privacy Policy and any other legal notices published by Livently on the Services, shall constitute the entire agreement between you and Livently concerning the Services. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Livently’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision. YOU AND Livently AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
15.3. Entire Agreement
The Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Livently regarding your use of the website and supersedes all prior and contemporaneous written or oral agreements between you and Livently.
You may be subject to additional terms and conditions that apply when you use or purchase other Livently's services, which Livently will provide to you at the time of such use or purchase.
15.4. Assignment
Livently may assign or transfer its rights and obligations under these Terms without restriction. Users may not assign their rights or obligations without Livently’s prior written consent.
15.5. Typographical Errors
In the event a product and/or service is listed at an incorrect price or with incorrect information due to typographical error, we shall have the right to refuse or cancel any orders placed for the product and/or service listed at the incorrect price. We shall have the right to refuse or cancel any such order whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, we shall immediately issue a credit to your credit card account or other payment account in the amount of the charge.
15.6. Force Majeure
Livently shall not be liable for failure or delay in performance resulting from events beyond its reasonable control.
