Livently is an AI-powered event planning marketplace platform that connects Event Organizers with independent Vendors to plan, organize, and execute unforgettable events and experiences. Our Service includes but is not limited to:

• Event discovery, search, and matching tools powered by AI
• Communication and messaging between Organizers and Vendors
• Booking facilitation, contracts, and transaction support
• User account creation and management
• Content creation and sharing tools (e.g., event ideas, moodboards, checklists, timelines)
• Payment processing capabilities
• Reviews, ratings, and analytics/reporting tools

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 13 years old to use our Service. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the Service with the supervision and consent of a parent or legal guardian.

TO THE FULLEST EXTENT PERMITTED BY LAW, LIVENTLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.3 Limitation of Liability

IN NO EVENT SHALL LIVENTLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Termination

12.1 Termination by You

You may terminate your account at any time by following the instructions in your account settings or contacting us directly.

12.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms or engage in conduct that we determine is harmful to our Service or other users.

12.3 Effect of Termination

Upon termination:

• Your right to access the Service will cease immediately
• We may delete your account and User Content
• Provisions that by their nature should survive termination will remain in effect

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising under these Terms will be resolved through binding arbitration in accordance with the rules of the European Court of Arbitration in London. You waive your right to participate in class action lawsuits or class-wide arbitrations.

Either party may seek injunctive relief in court for intellectual property infringement or other urgent matters.

This Agreement, together with the Privacy Policy and any other legal notices published by Livently on the Services, shall constitute the entire agreement between you and Livently concerning the Services. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Livently’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision. YOU AND Livently AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

14.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Livently regarding the Service.

14.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

14.5 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
